Terms of saleEffective
Terms & conditions of sale.
The terms behind every wholesale order we ship from Elizabethtown, Kentucky. We sell to registered businesses buying for resale — never to consumers — and every order is confirmed on a pro forma before it leaves the building.
The short version
- Trade accounts only: registered businesses with valid resale documentation.
- First order $650, reorders $240 — any mix of houses.
- Prices are fixed on a pro forma before anything ships.
- UPS Ground to the lower 48 states and Washington, DC; free freight over $1,800, otherwise billed at cost.
- Damage and shortage claims within 72 hours of delivery, with photos.
- Kentucky law; courts in Hardin County, Kentucky.
This summary is for convenience. Where it differs from the numbered sections, the sections govern.
§ 01 Scope
These terms apply to every quote, pro forma invoice and order between Buddha Beauty & More (“we” or “us”) and the business buying from us (“you”). Placing an order means you accept them.
Terms printed on your purchase orders, vendor portals or onboarding forms don’t change these unless we accept them in writing — an email from info@buddha-beauty.org that names the change. Where a pro forma we issue states something different for a particular order, the pro forma governs that order.
§ 02 Who may buy
We sell at wholesale only, to registered businesses that buy fragrance for resale — perfumeries, boutiques, salons and spas, online retailers, hotels and similar trade buyers. To buy from us you need:
- a legal business name, and an EIN if your business has one;
- valid resale documentation, as described below;
- a street ship-to address in the lower 48 states or Washington, DC — not a P.O. box.
Kentucky accounts can use Form 51A105, the Streamlined Sales Tax Certificate of Exemption (Form 51A260) or the MTC Uniform Sales & Use Tax Certificate, as 103 KAR 31:111 allows. Out-of-state accounts send their own state’s resale documentation. If we don’t hold valid resale documentation for an order, we charge sales tax where the law requires it.
We may verify any document with the issuing state, ask for more, and refuse an application or close an account at our discretion — including when we can’t confirm that you are buying for resale.
§ 03 Accounts and approval
Apply through the trade account form or by email. We review applications within two business days of receiving complete documents and reply by email.
Approval opens an account in your business’s name. You are responsible for orders placed by anyone you authorize to buy on it. Tell us by email who is authorized to order, when a buyer leaves and when your business details change — legal name, address, EIN or resale status. We may suspend an account whose balance is past due or whose resale documents have lapsed.
§ 04 Orders and pro forma
Send orders by email to info@buddha-beauty.org. An order is a request until we confirm it on a pro forma invoice listing SKUs, quantities, unit prices, freight and total. The sale is agreed when you accept the pro forma and pay it — or, on an approved Net 30 account, when you accept it.
Stock is allocated when the pro forma is paid or, on Net 30, accepted. If a line sells out before then, we remove it, reissue the pro forma and refund or credit anything you paid for it. We may limit quantities on new releases and lines in short supply.
You can change or cancel an order without charge until it is packed. After that it ships as confirmed, and returns follow § 11.
§ 05 Pricing
Prices are wholesale, in US dollars, and exclude sales tax and freight. The pricelist shows current prices; the pro forma fixes them. Until we issue a pro forma, prices and availability can change without notice. Once you accept a pro forma, its prices hold for that order.
We don’t set or control your retail prices. If you are bound by a house’s own policies — on pricing, advertising or where you sell — following them is between you and that house.
§ 06 Minimums
Your first order must total at least $650 at wholesale. Each reorder must total at least $240. Any mix of houses, lines and sizes counts. Minimums are measured on the merchandise total of the pro forma, before freight and any sales tax.
§ 07 Payment
We accept ACH, wire transfer or a major card. New accounts pay each pro forma in full before it ships.
After three paid orders, we review the account for Net 30 terms. Whether to extend credit, and how much, is our decision, and we may withdraw it with written notice. Net 30 invoices are due 30 days from the invoice date. If any balance is past due, we may hold further shipments until it is paid.
§ 08 Shipping
We ship by UPS Ground only, to addresses in the lower 48 states and Washington, DC. We don’t ship to Alaska, Hawaii, US territories or outside the United States.
The reason is regulatory. Alcohol-based perfume is UN1266, “Perfumery products,” a Class 3 flammable liquid. We ship it as a Limited Quantity under US DOT rules (49 CFR 173.150), in divided cartons marked accordingly. If you reship our products — to your customers or between your stores — the same hazardous-materials rules apply to your shipments, and complying with them is your responsibility.
Orders confirmed and paid by 11:30 AM ET, Monday through Friday, ship the same business day; later orders ship the next business day. Freight is free on orders over $1,800. Below that, we bill UPS freight at cost, shown on the pro forma.
Transit times are UPS estimates, not guarantees. From central Kentucky most UPS Ground orders reach the Midwest, Southeast and much of the East Coast in 1–3 business days; the West Coast takes longer. We aren’t liable for carrier delays.
§ 09 Title and risk
Title to the goods and risk of loss pass to you on delivery to the ship-to address on the pro forma. Until then, loss or damage in transit is ours to resolve with the carrier — provided you report it as § 10 requires.
§ 10 Inspection and claims
Inspect every carton when it arrives and check the count against the packing slip, which lists the lot code of every unit. Report damage or shortages to info@buddha-beauty.org within 72 hours of delivery, with:
- the order or invoice number;
- photos of the outer carton, including the shipping label;
- photos of each damaged bottle and its box, with the batch code visible where you can;
- for shortages, the packing slip marked with what’s missing.
Keep damaged goods and packaging until we close the claim — the carrier may ask to see them. We credit or replace confirmed breakage and shortages. Claims reported after 72 hours, or without photos, may be declined.
§ 11 Returns
Goods are sold for resale and can’t be returned for change of mind, slow sales or overstock. We accept returns only for:
- transit damage confirmed under § 10;
- picking errors on our side — the wrong item, size or quantity shipped;
- manufacturing defects, such as a faulty sprayer or a leaking seal, reported by email with photos and the batch code.
Email us before sending anything back. Perfume returns travel under the same hazardous-materials rules as outbound orders, so we tell you how to ship them — please don’t send them on your own label. Where the error is ours, so is the return freight. Testers can’t be returned.
§ 12 Testers
Testers are supplied for in-store sampling only. We allocate them to accounts that stock the matching full-size product, and they appear as a separate line on the invoice. Testers must not be sold, listed for sale, decanted or passed to anyone else for resale. We may stop allocating testers to an account that breaks this rule.
§ 13 Trademarks and independence
Buddha Beauty & More is an independent distributor. We are not affiliated with, sponsored or endorsed by any of the houses we supply, and nothing in these terms makes either of us an agent of a house.
House names, logos and product names are trademarks of their owners. Buying from us gives you no right to use them beyond identifying the genuine products you resell — naming a fragrance on a shelf label or a product listing, for example. Don’t describe your business as an authorized retailer of a house, or as affiliated with one, on the strength of buying from us.
§ 14 Product safety and adverse events
We sell every retail unit sealed, as manufactured and labeled by its house, with the batch code intact. We don’t decode, relabel, unbox or repackage stock, and you agree not to remove batch codes or alter labels on goods you buy from us. We store stock climate-controlled, below 75 °F and out of daylight; we recommend you do the same.
Under the Modernization of Cosmetics Regulation Act of 2022 (MoCRA), a cosmetic’s label must give a US address, a US phone number or electronic contact information, which may include a website, through which the product’s responsible person — the manufacturer, packer or distributor named on the label — receives adverse-event reports. If a customer reports a reaction, refer them to that contact, and tell us too at info@buddha-beauty.org with the product, batch code and date, so we can check the lot.
§ 15 Limitation of liability
Our total liability for any claim arising from an order — in contract, negligence or otherwise — is limited to the invoice value of the goods the claim concerns. We are not liable for lost profits, lost sales, business interruption, or any indirect, incidental or consequential damages.
Nothing in these terms limits liability that the law does not allow to be limited.
§ 16 Force majeure
Neither of us is responsible for delay or failure to perform caused by events outside reasonable control — severe weather, fire, flood, carrier service suspensions or embargoes, labor disputes, shortages at a house, government action, or power and network outages. If one affects your order, we tell you promptly and ship what we can, and you may cancel any unshipped part for a refund of what you paid for it. Payment for goods already delivered stays due.
§ 17 Governing law and venue
These terms and every order under them are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-laws rules. Any dispute goes to the courts located in Hardin County, Kentucky, and you consent to their jurisdiction. Before filing anything, write to us — we would rather settle an order dispute by email.
§ 18 Changes and general terms
We may update these terms. The version in force on the date we issue a pro forma governs that order. We post changes here with a new effective date, and email active trade accounts about material changes before they apply.
If a court finds any part of these terms unenforceable, the rest still applies. Not enforcing a term once doesn’t waive it. You may not transfer your account to another business without our written consent.
§ 19 Contact
The trade desk works by email, Mon–Fri, 9:00 AM–5:00 PM ET. We don’t take orders or claims by phone — email keeps a record both sides can point to.
